Office Beacon – Service Addendum Terms

These Service Addendum Terms supplement the standard service agreement between Office Beacon and the Client.
This Addendum applies when additional services, resources, or staffing are added to an existing engagement.
1. Scope Expansion
The Client and Company may agree to expand services under an existing agreement by adding additional resources, services, or roles.
By approving additional resources, the Client agrees that:
- All existing Agreement terms remain in force
- These Addendum Terms also apply to the expanded services
If any conflict exists between the Agreement and this Addendum, this Addendum will govern.
2. Mutual Non-Solicitation
During the term of the Agreement and for three (3) years following termination, neither party may:
- Hire or employ employees or contractors of the other party
- Solicit or interfere with employees, contractors, or customers of the other party
If this provision is violated:
- The non-breaching party may seek injunctive relief
- The breaching party will be liable for liquidated damages
Liquidated damages will equal the greater of:
- Three (3) years of billings based on the highest annual billing in the prior three years, or
- $25,000 USD
The prevailing party in any legal action may recover attorney’s fees and court costs.
3. Service Start & Billing
Billing begins once the assigned staff member is confirmed and work begins.
Payments:
- Are billed monthly
- Charged to the Client’s credit card on file
- Due upon invoice receipt
4. Annual Price Adjustment
Beginning on the first anniversary of the Effective Date, service pricing will increase 5% annually.
This increase supports:
- employee retention
- compensation adjustments
- operational cost increases
5. Late Payments
If payment is not received by the invoice due date:
Office Beacon may:
- charge late fees
- suspend services
- terminate services
Late fees may be assessed at:
the lesser of:
- 5% per month, or
- the maximum rate permitted by law
If the account is referred to collections:
- the Client agrees to reimburse all collection costs
- including attorneys’ fees
Collection fees may be assessed up to 18% of the outstanding balance, where permitted by law.
6. Governing Agreement
Except as modified by this Addendum, all terms of the original Agreement remain in full force and effect.
